These Terms of Service (“Terms”) govern your access to and use of the UL UnitLedger platform (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. About UL UnitLedger

UL UnitLedger is a software-as-a-service platform designed to support condominium and homeowner association (“HOA”) management. The Service helps boards, managers, and owners organize expenses, documents, voting, and legal obligations in one place.

Access to UL UnitLedger may be subject to subscription fees, depending on the plan selected (for example: Basic, Standard, Pro, Manager, Enterprise, or Starter). Plan details, pricing, billing frequency, and payment methods are displayed at checkout or in your account.

All fees are non-refundable unless required by applicable law or explicitly stated otherwise. We may suspend or terminate access to the Service if payments are not completed or reversed.

You retain ownership of the data and content you upload to UL UnitLedger (“Customer Data”). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely for the purpose of providing the Service.

You are responsible for ensuring that your use of Customer Data complies with applicable privacy, data protection, and record-keeping laws.

We aim to provide a reliable and secure platform but do not guarantee uninterrupted or error-free operation. We may modify, update, or discontinue certain features from time to time in order to improve the Service or comply with legal requirements.

8. Limitation of Liability

To the maximum extent permitted by law, UL UnitLedger and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or loss of reputation, arising from your use of the Service.

Where liability cannot be excluded, it will be limited to the amount paid by you to use the Service during the twelve (12) months preceding the event giving rise to the claim.

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, misuse the platform, or use it in a way that could cause harm to other users or to UL UnitLedger.

Upon termination, we may retain certain data where required or permitted by law. You may request exports of your data before termination, subject to technical and legal limitations.

We may update these Terms from time to time, for example to reflect changes in the Service or in applicable law. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you within the platform or by email.
